Company registration: documents for opening a LLC

The form of ownership of an LLC is an economic structure that can be established by one or more entities. In this case, the authorized capital of the formed company is divided into parts, the sizes of which are indicated in the constituent documents. The participants in this structure are not liable for obligations, and the risk of losses for the company is within the amount of their contributions.

What documents are needed to open an LLC

The legal status of this organization, the procedure for its creation, liquidation and reorganization are defined in the Civil Code and in the federal law on LLCs.

To register a structure, the documents for opening an LLC must contain its name (address), address, information about the founders and the charter capital formed. The company must have a full name, it may also have a company abbreviated name in Russian.

The place where the company will be located is determined by the territory of registration of the future company. The address of the main place of business or the location of the company’s governing bodies can be recorded as the location in the constituent documents. In practice, there are many problems associated with the confirmation of the location of the LLC. For example, an agreement on the lease of non-residential premises can confirm the address. However, the created company at the registration stage may not even have a preliminary lease agreement and not present its future address.

In this case, there are several outputs. You can purchase a (temporary) legal address or provide for registration the home address of any founder (individual). The latter option is valid only for small enterprises.

Documents for opening an LLC must include information on the structure and size of the authorized capital. Its size is set at least 100 times the minimum wage of workers. At the time of registration, the founders must contribute more than half the amount of the authorized capital. Each participant of the LLC makes its contribution within the period determined by the constituent agreement, which should not be more than one year from the time of state registration. For the deposit, money, securities, as well as property or rights having a monetary value, may be accepted.

When registering, the following documents are required to create an LLC: firstly, it is the charter of the company, and secondly, a protocol on the creation of an LLC, as well as copies of passports of individuals who are founders. If the founder is a legal entity, then information about him (name, OKPO, TIN, PSRN, location) will be required. Also, for the registration of a company, it is necessary to develop the name of the company, provide information on the types of activities of the company, on the method of formation and amount of the authorized capital.

After collecting all the documents for opening an LLC, you should open a savings account and put on it half of the declared amount of money in the authorized capital. This may take 1-2 days.

After this, the documents for opening the LLC must be submitted to the body that is registering legal entities. This procedure will take 6 business days. After performing these actions, the company is considered registered and is assigned a PSRN and a TIN. After making a decision on registration, information about the new legal entity is sent to the territorial bodies of social insurance, the Pension Fund and the compulsory medical insurance fund within five days.

Within a day after registration, a stamp is made, upon receipt of which the director and other authorized officials of the new LLC, who are entitled to sign financial documents, notarize the samples of their signatures on bank cards. At the final stage of registration, a bank account is opened within two days.
