The seal of the organization has a dual meaning - it is a tool that allows you to confirm the authenticity of a document, and the impression that is received from this tool.
The binding of contracts, the confirmation of the authenticity of letters, documents by the seal remained a legacy to us in the form of traditions originating from the most ancient civilizations - Sumerian, Egyptian, Ancient Indian, etc. The first seals are hallmarks on animals and people. These brands were placed on the skin with special devices, often heated. With the development of public relations, methods of confirming ownership have also developed. Sometimes relations between states and / or people (princes, merchants) were sealed by written agreements, which were certified by a person’s personal seal or state seal.
The purpose of printing in our time is a confirmation of the authenticity of documents. The print is placed on the front side of the document sheet. If there are several sheets in a document, then printing is usually placed on the last sheet or on the first. Sometimes a document during transportation, for the safety of its text from disclosure and damage, is folded into a tube. Then the seal is placed on wax or sealing wax, which closes the cord assembly connecting the tube. Seals sealed letters and parcels to protect them from opening. The envelope in which the letter was placed was closed, molten wax or sealing wax was dripped onto the envelope joint area, after which a seal was applied and waiting to solidify.
Now printing as a tool is made of metal, rubber, plastic. Previously, seals were cut from soft stone (soap, jade), from ivory, from metal (lead, tin, copper), from wood, etc. A seal placed on a ring is called a signet.
In the Civil Code (CC) of Russia in section 4 there is no mention of the presence of the seal of the organization as a prerequisite for the activities of the jur. faces. But its necessity is determined by other laws of the Russian Federation. So, for example, Art. 2 of Law No. 14-FZ of 1988 on Limited Liability Companies determines the type and obligatory details of the press.
The seal of the organization must be round and contain:
- the full name of the organization, its legal form (OJSC, DAO, LLC, PE, etc.) in Russian;
- location of the organization (region, district, city) as it is defined in the Charter;
- organization registration number in the state register;
- seal registration number in the regional register of seals.
The listed details are required for all business entities.
In addition, the organization’s seal may contain the
company name in any language, the logo and / or
trademark registered in accordance with the established procedure.
To order the seal of the organization, you should prepare the originals of such documents:
- document on state registration;
- document on registration;
- the organization’s decision to make a seal;
- an order to appoint a leader:
–– manager's passport (photocopy);
- Articles of association;
- power of attorney to the representative of the organization for the coordination of the sketch of the seal.
An organization may have a second seal that differs from the first by the presence of the number “1”.
In case of loss or damage to the main seal, in accordance with the established procedure, it is possible to make a duplicate on which the letter “D” should stand.
