Annex to the contract

When concluding an agreement on the sale of products, the provision of various services or the performance of certain works in practice, situations arise when additional details of the transaction, which have a sufficiently large amount of information, are inconvenient to place in the main text of the document. In such cases, an annex to the contract is drawn up. It can be a task of a technical nature, specification, schedules, deadlines for the completion of work and delivery of materials, the cost of the products supplied, the procedure for making calculations, etc. This annex to the contract is drawn up on several or one sheet, depending on the amount of information contained in it, and becomes part of the agreement, which has the same legal force.

The introductory part of the document must contain its name. Next to the word "Application" should be a number, in the case of registration of several additions to the agreement. One of the prerequisites is an indication of the contract itself. Therefore, the introductory part should contain the date of its preparation and registration number.

The title of the main section should come from the content of the document. The title should briefly reflect the essence of the clarifications, which are one of the most important parts of the agreement and specify the provisions contained in the contract itself. In addition to the transaction, schedules characterizing the execution of work, as well as the sequence of their execution, can be drawn up. The annex to the contract may contain a protocol of comments, etc.

The final part of the document should reflect the details of each of the parties to the agreement. Here are indicated:

  • full name;
  • type of ownership;
  • actual and legal addresses;
  • settlement accounts and names of banks that serve the counterparty.

All these data are necessary elements that indicate that the addendum belongs to the main agreement. The annex to the contract is fixed by the signatures of persons who have the right to conclude a transaction. Their positions are also indicated here, as well as full name. The stamps of the participants in the transaction are affixed. The application is signed simultaneously with the contract itself. If the extended information for the transaction is indicated a little later, then it is issued in the form of an additional agreement.

The contract and its annexes from a legal point of view have the status of a single document. In practice, there are cases when the agreement contains references to the additional information attached to it. In this case, the application serves as an integral part of the transaction.

The annex to the supply contract is drawn up in case of the length of the agreement period. The content of such a document is specified upon signing by the parties of additional information. A long-term transaction for the supply of products during the period of its execution may undergo a number of changes in the initial agreement. The quantity and cost of goods decreases or increases, the order of their delivery to the buyer, as well as the assortment list, may change. Specific provisions for the sale of products are indicated in the specifications. If various contradictions are observed in the applications, then you need to use information that has a later date for signing.

A contract of employment may also have various applications. They are compiled when certain information due to the large volume is not reflected in the main document. What will be additionally reflected in the agreement, the organization decides on its own. So, the job description of the employee can be issued as an appendix to the employment contract. In the form of additional information, the employment agreement may contain:

  • terms of use of the employee’s personal property in the interests of the organization;
  • prohibitions on disclosure of information, etc.
