Individual entrepreneurship is the most popular form of running your own business. In the event of termination of such activities, the entrepreneur must undergo a special legal procedure - liquidation (closure). IP closure - termination of any activity of an individual entrepreneur with mandatory state registration. An enterprise with a form of ownership of “IP” may complete its entrepreneurial activity for various reasons specified in Russian law:
1. voluntary decision to close the IP,
2. death of the entrepreneur,
3. court decision (deprivation of the right to entrepreneurial activity; a ban on residence in the Russian Federation to foreign citizens registered as entrepreneurs)
Completing an entrepreneurial activity is easier than a legal entity. There are many enterprises assisting in the closure of such enterprises. will directly depend on the state of affairs in the company: closing an IP without debts is much easier than with debts. We need a competent assessment of the situation by a lawyer and an accountant in order to observe the correct sequence of liquidation and avoid unpleasant situations for an entrepreneur. If the individual entrepreneur has debts, it is possible to apply bankruptcy proceedings.
It is worth closing an IP when the company no longer conducts real business activities, and it does not generate income. Because regardless of whether the company generates income and whether there was any activity during the year, it is necessary to pay the annual fixed amount of insurance contributions to the Pension Fund. After the liquidation of the IP, this obligation is canceled.
You can go through all the procedures for the elimination of IP on the following points:
1. payment of state duty for closing IP in any available way;
2. filing an application and other documents on the liquidation of IP in the tax office;
3. notification of the PF on the closure of the IP;
4. repayment of debts on all existing debts.
To close the IP, you need to collect the following package of documents:
• reporting
• certificate of state registration of an individual entrepreneur,
• his passport,
• TIN certificate (copy),
• notifications from the FSS, MHIF, PF.
After the IP activity is terminated and the termination record is entered into the register (EGRIP), the entrepreneur is issued a certificate of state registration of the termination of the entrepreneurial activity by an individual. But even despite the successful liquidation of the IP, the entrepreneur will be responsible for the remaining debt of the enterprise with its own property.
